This Service Description describes the included features of the ApplyWithUs℠ Service and the assistance ApplicationsOnline will provide to enable Customer to utilize the Service, as of the effective date shown above. Capitalized terms used but not defined herein have the definitions assigned in the Online Services Agreement.
The ApplyWithUs Service is an online service provided by ApplicationsOnline and powered by ApplicationsOnline’s proprietary CollegeBound℠ software platform for the collection and processing of electronic data from registered applicants ("Applicants") and authorized third party contributors ("Contributors") through the use of one or more related online, ad hoc applications, surveys, questionnaires and/or other types of electronic forms ("ApplyWithUs Applications"). The ApplyWithUs Service is made available to ApplicationsOnline's institutional customers ("Customers") through the ApplyWithUs website located at www.applywithus.com (the "ApplyWithUs Site") pursuant to an executed Online Services Agreement, of which this Service Description forms a part, and one or more accepted Service Orders requesting ApplyWithUs Applications. Each ApplyWithUs Customer utilizes the ApplyWithUs Service through an assigned sub-domain of the ApplyWithUs Site or other agreed location (the "Application Location"). Use of the ApplyWithUs Service and ApplyWithUs Site is subject to the terms and conditions of the Online Services Agreement, the ApplyWithUs Site Terms of Service, and the ApplyWithUs Acceptable Use Policy.
The ApplyWithUs Service is driven by one or more ApplyWithUs Applications requested by a Customer. In general, the ApplyWithUs Applications are online data collection forms set up to a Customer's specifications with one or more data input fields for the collection of information from Applicants and/or Contributors. For each ApplyWithUs Application requested by Customer in an accepted Service Order, ApplicationsOnline will: a) set up the ApplyWithUs Application to specifications agreed upon by Customer and ApplicationsOnline using approved content provided by Customer; b) make the ApplyWithUs Application available to registered Applicants and authorized Contributors at the Application Location throughout the applicable Application Season; c) collect and store information submitted by Applicants and Contributors (collectively, "Applicant Data"); d) make Applicant Data available to Customer in an ApplyWithUs standard format; and e) reasonably cooperate with an approved, third party online payment processor, if requested by Customer, to help facilitate electronic payments through the third party's online payment system.
Customer will provide all content to be used with the requested ApplyWithUs Applications to ApplicationsOnline on or before the date specified in the Service Order. ApplicationsOnline and Customer will confer and agree upon reasonable and customary design and technical specifications for the ApplyWithUs Applications and data input fields. Customer's intended use of the ApplyWithUs Applications and all Customer content and specifications are subject to ApplicationsOnline’s review and approval and compliance with the ApplyWithUs Acceptable Use Policy. ApplicationsOnline may reject, modify or substitute all or any specifications in its sole and absolute discretion.
Upon receipt and approval of all Customer content and specifications, ApplicationsOnline will set up Customer’s ApplyWithUs Applications utilizing approved Customer content in accordance with the agreed specifications. ApplicationsOnline will make the ApplyWithUs Applications available to Customer for testing on/at a date and time specified in the applicable Service Order. ApplicationsOnline will make the following corrections if reported to ApplicationsOnline on the date of testing: (a) any demonstrable functional errors in the ApplyWithUs Applications; and (b) any discrepancies between the ApplyWithUs Applications and the agreed specifications. All other requested changes shall be at ApplicationsOnline’s sole and absolute discretion and may be subject to additional fees at ApplicationsOnline's current hourly rate.
Upon completion of setup and testing, ApplicationsOnline will make the ApplyWithUs Applications available to Applicants and Contributors through the ApplyWithUs Site at the Application Location during the recurring time period specified by Customer (the "Application Season") for the Term of, and subject to, the Online Services Agreement. Applicants and Contributors will be required to register for an ApplyWithUs account in order to use the ApplyWithUs Applications. Use of the ApplyWithUs Service, the ApplyWithUs Site and the ApplyWithUs Applications is subject to the then-current ApplyWithUs Terms of Service ("Terms of Service"). ApplyWithUs Site and ApplyWithUs Service availability may be interrupted from time to time due to scheduled maintenance, emergency maintenance, or other causes beyond ApplicationsOnline's control.
ApplicationsOnline serves solely as its Customers' appointed custodian of Applicant Data submitted to Customers via the ApplyWithUs Applications, as further described in the Online Services Agreement and the ApplyWithUs Privacy Statement, available at https://www.applywithus.com/legal/privacy_statement. Upon collection of Applicant Data via a "submitted" ApplyWithUs Application from an Applicant or Contributor, ApplicationsOnline will make the Applicant Data available to the Customer for export and download in an ApplyWithUs standard format. ApplicationsOnline is obligated to store Applicant Data only for the term of Customer's Online Services Agreement.
If Customer elects to accept payment of Application fees from Applicants online using a third party payment processor ("Payment Processor"), in Customer’s sole discretion, Customer acknowledges and agrees that Customer’s ability to accept such online payments is conditioned upon Customer entering into a separate account agreement directly with a Payment Processor approved by ApplicationsOnline. Customer is solely responsible for all fees assessed by Payment Processor, including, for example, any transaction fees, charge back fees and returned check fees. Customer acknowledges and agrees that ApplicationsOnline is not responsible for any processing or billing errors related to online payments and all such errors and disputes shall be solely between Customer and Payment Processor. Customer acknowledges that ApplicationsOnline may separately collect integration or other fees from or in connection with the online payment processor selected by Customer.
ApplicationsOnline will: (a) provide Level 2 technical support to Customers via phone and email during ApplicationsOnline's regular business hours; and (b) use commercially reasonable efforts to correct verifiable program errors, bugs, and/or the failure of the ApplyWithUs Service to conform in all material respects to this Service Description when reported to or discovered by ApplicationsOnline. ApplicationsOnline will not be required to provide technical support or other support to Applicants or Contributors, including, without limitation, any support related to a Customer's policies and procedures concerning Applicants' completion of ApplyWithUs Applications or a Customer's review, processing or evaluation of submitted ApplyWithUs Applications.
ApplicationsOnline will make one or more representatives of ApplicationsOnline available for a scheduled conference call once per calendar quarter to meet with Customer.
